Terms of Service

Please read these Terms of Service ("Terms") carefully before using the AgentPort platform and related services (the "Service") operated by AgentPort, Inc. ("AgentPort", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@skaldlabs.io if you suspect unauthorized access.

3. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any third party.
• Transmit viruses, malware, or other harmful code.
• Attempt to gain unauthorized access to any system or network.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell or sublicense access to the Service without our written consent.

4. Integrations and Third-Party Services

The Service allows you to connect third-party services ("Integrations") by providing API credentials. You are solely responsible for ensuring you have the right to connect those services and that your use complies with the respective third-party terms. AgentPort is not responsible for the availability, accuracy, or actions of any third-party service.

5. Credential Security

AgentPort stores your Integration credentials encrypted at rest. You acknowledge that no security measure is perfect and agree to use the Service only for lawful purposes. You are responsible for maintaining appropriate access controls on your AgentPort account and for any agent configurations you deploy.

6. Fees and Payment

Certain features of the Service are offered on a paid subscription basis. Fees are described on our pricing page and are due in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change our pricing with 30 days' notice.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of AgentPort and its licensors. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent. You retain ownership of any data you submit to the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described therein.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AGENTPORT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF AGENTPORT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentPort and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

14. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
